End-User License Agreement & Terms of Use

Effective Date: August 6, 2026

Applies to: the "TaDa Accounting AI" software integration operated by TaDa Accounting ("we," "us," "our").

1. Acceptance

By using the TaDa Accounting AI integration ("the Software"), or by authorizing it to connect to a QuickBooks Online company, you agree to these terms. If you do not agree, do not use or authorize the Software.

2. Description

The Software is an internal tool used by TaDa Accounting to connect to clients' QuickBooks Online files (via Intuit's API) to perform bookkeeping, cleanup, reconciliation, reporting, and related accounting tasks on behalf of authorizing clients.

3. License

We grant authorized users a limited, non-exclusive, non-transferable, revocable right to use the Software solely to receive or deliver TaDa Accounting's services. The Software is licensed, not sold. You may not copy, resell, reverse-engineer, or use the Software outside this purpose.

4. Authorization and acceptable use

Connections to a QuickBooks Online company are made only with the account owner's authorization and may be revoked at any time. You agree to use the Software lawfully, to provide accurate information, and not to use it to access data you are not authorized to access.

5. Data

Our handling of information is described in our Privacy Policy, which is incorporated by reference. QuickBooks data is accessed and used only to provide services to the authorizing client.

6. Intellectual property

All rights, title, and interest in the Software and its underlying components remain with us or our licensors (including Intuit and our technology providers). QuickBooks is a registered trademark of Intuit Inc.; we are an independent firm and are not endorsed by Intuit.

7. Disclaimers

The Software is provided "as is" and "as available," without warranties of any kind. The Software supports, and does not replace, the professional judgment of a qualified accountant. Automated outputs are reviewed by a person before any change is posted to a client's books. We do not warrant uninterrupted or error-free operation.

8. Limitation of liability

To the maximum extent permitted by law, TaDa Accounting is not liable for indirect, incidental, special, or consequential damages arising from use of the Software. Our total liability for any claim is limited to the fees paid for the relevant service.

9. Indemnification

You agree to indemnify TaDa Accounting against claims arising from your misuse of the Software or violation of these terms.

10. Term and termination

These terms apply while you use the Software or maintain an authorization. We may suspend or terminate access for violation of these terms or as needed to protect data security.

11. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
